Your responsibilities:
The M&A Manager at Sabena Engineering is responsible for coordinating all efforts related to mergers, acquisitions, and strategic partnerships in Belgium and abroad. This role will oversee the full lifecycle of M&A activities, including conducting due diligence, coordinating negotiations, and supporting post-merger integration. The successful candidate will work closely with the executive leadership team to ensure alignment with strategic business objectives and create value from M&A transactions. This position is integral to the company’s local and international growth and expansion strategy and will report directly to the CEO Office.
End-to-end deal oversight
- Manage the full M&A lifecycle, incl. due diligence, deal closure, and post-merger integration, ensuring alignment with Sabena Engineering’s strategic growth ambitions
- Drive strategic assessments and business case development for each potential deal, coordinating robust financial analyses, valuation models, and synergy projections to support investment decisions
- Collaborate closely with internal and external stakeholders—including executive leadership, advisors, and potential partners—to maintain momentum and transparency throughout the deal process
- Lead integration planning in cooperation with functional leaders (Operations, HR, IT, Finance, etc.), ensuring cultural compatibility, retention of key talent, and realization of operational and financial synergies
Due diligence coordination
- Orchestrate comprehensive due diligence processes across key domains (financial, legal, operational, HR, tax, commercial, etc.) to identify risks, validate assumptions, and uncover value drivers
- Assemble and lead cross-functional due diligence teams, ensuring clarity of roles, adherence to timelines, and consistent reporting of findings
- Develop and maintain structured diligence frameworks, including checklists, data room structures, and risk registers to enhance process repeatability and decision quality
- Synthesize complex information into clear, executive-level briefing materials and risk assessments, providing actionable recommendations to the management team
- Identify and pre-empt potential integration challenges through early-stage operational assessments and stakeholder dialogues
Negotiation & deal structuring preparation
- Take ownership of the negotiation strategy, including key terms, pricing, risk allocation, and structuring considerations, to secure deals that maximize long-term value for Sabena Engineering
- Engage with internal stakeholders and external advisors (legal, tax, financial) to align on negotiation objectives and create robust, compliant, and scalable deal structures
- Coordinate redlining and drafting of key transaction documents (e.g., LOIs, SPAs, shareholder agreements), ensuring legal soundness and business clarity
- Support governance processes by preparing approval materials, facilitating decision meetings, and maintaining clear audit trails throughout the negotiation phase
- Anticipate and mitigate negotiation bottlenecks by maintaining open channels of communication with all parties and leveraging relationships to foster mutual trust
Your profile:
- Master’s degree in Business Administration, Finance, Economics, or a related field
- Minimum 5-8 years of experience in M&A, corporate finance, or management consulting, with a focus on mergers and acquisitions
- Open to travel to support ongoing international M&A transactions
- Proven track record of managing M&A transactions, including successful deal execution and integration
- Strong financial modeling, valuation, and analytical skills
- Excellent negotiation, communication, and stakeholder management abilities
- Strong understanding of legal and regulatory aspects of M&A transactions
